Member365 QuickBooks Online Integration

This agreement governs your use of the QuickBooks Online Integration offered by Pixelera Inc. d/b/a Member365.

Applies To: All customers who activate the QuickBooks Online (QBO) integration.

1. Introduction

This End-User License Agreement (the “Agreement”) governs your use of the QuickBooks Online Integration (the “Integration”) offered by Pixelera Inc., doing business as Member365 (“Member365”, “we”, “our”, “us”).

By enabling the Integration, you agree to this Agreement, the Member365 Terms of Service, and the Member365 Privacy Policy.

This Agreement governs only the QBO Integration. Your general use of Member365 continues to be governed by the main Terms of Service.

2. What the Integration Does

The Integration syncs selected financial and member-related data between Member365 and your QuickBooks Online (QBO) account.

Specifically, the Integration may:

• Look up customers in QBO and create new customers if none exist
• Create invoices, items/products, and payments in QBO based on transactions generated in Member365, including transactions initiated by administrators, staff, members, or contacts
• Send payment status updates from Member365 to QBO
• Pull your QBO Chart of Accounts
• Read and display QBO invoice numbers inside Member365
• Store QBO reference identifiers needed for syncing and audit integrity

The Integration modifies QBO data only when such actions are triggered by legitimate activity within Member365.

3. License to Use the Integration

Upon activation, Member365 grants you a limited, revocable, non-exclusive, non-transferable license to use the Integration for your organization’s internal business purposes.

You may not:

• Copy, alter, reverse-engineer, or resell the Integration
• Use the Integration for outsourced or commercial service bureau purposes
• Use the Integration in a way that violates Intuit’s terms, applicable laws, or accounting standards

4. Your Authorization to Access QBO

By activating the Integration, you authorize Member365 to access your QBO account through Intuit’s OAuth and APIs to read data required for syncing, write data required for syncing, and store reference identifiers required for accuracy and audit trail continuity.

You may revoke this authorization at any time through QBO or Member365. Revocation immediately stops all syncing.

5. What We Store

For data integrity, sync accuracy, and auditing, Member365 stores QBO reference identifiers such as Customer Reference ID, Invoice Reference ID, Item/Product Reference ID, Transaction Reference ID, Tax Code Reference ID, and Chart of Accounts Reference ID.

We do not store your QBO username or password. OAuth credentials are stored only to the minimum extent required to maintain an active connection.

All data is handled according to the Member365 Privacy Policy and security practices.

6. Disconnection and Post-Termination Behaviour

If you disconnect the Integration or revoke QBO access, all reading and writing activity between Member365 and QBO stops immediately. No new or updated data is synced, previously stored QBO reference identifiers remain in Member365 as static historical data, and no new QBO information is retrieved or updated.

We retain reference identifiers only as necessary to preserve financial accuracy, reporting integrity, historical records, and audit trails.

Intuit does not require the deletion of historical reference data after an integration is disabled.

7. Data Residency

Data associated with the Integration may transit through or be stored on infrastructure located in Canada, the United States, or other jurisdictions used by Intuit or Member365.

Use of the Integration constitutes consent to this cross-border data flow where legally permitted.

8. Your Responsibilities

• Maintaining an active QBO subscription with proper permissions
• Ensuring your financial and accounting configurations are correct
• Verifying the accuracy of all synced data
• Complying with applicable laws, tax rules, and accounting standards

Member365 does not provide accounting or tax advice and is not responsible for accounting outcomes.

9. Our Responsibilities

Member365 is responsible for providing a secure and reliable Integration, respecting your authorization and revocation of access, processing QBO-related data only for Integration purposes, and protecting your data.

Member365 does not control Intuit’s platform availability, API changes, rate limits, outages, disruptions in QBO, or discrepancies caused by QBO or user configuration.

10. Availability, Sync Behaviour, and No Guarantee of Successful Sync

The Integration relies on Intuit’s APIs. Member365 cannot guarantee that every attempted sync will succeed. API failures, outages, throttling, misconfigurations, or data conflicts may prevent successful syncing.

You are responsible for reviewing and verifying data in QBO and Member365 after sync events.

Member365 is not liable for failed sync attempts, duplicate entries, missing entries, mapping issues, or accounting discrepancies.

11. Data Accuracy and Limitation of Liability

You acknowledge that synced financial data may impact your reporting and accounting outcomes.

• You are solely responsible for reviewing and validating financial data in QBO and Member365
• Member365 is not liable for bookkeeping errors, duplicate entries, misconfigurations, data mapping issues, or discrepancies
• Member365’s liability is limited as described in the primary Terms of Service

For QuickBooks-specific issues, contact Intuit Support.

13. Updates to This Agreement

Member365 may update this Agreement periodically. Material changes will be communicated by email or within the Member365 platform.

Continued use of the Integration after changes constitutes acceptance of the updated terms.

14. Termination

Member365 may suspend or terminate your access to the Integration if you violate this Agreement, violate Intuit’s platform rules, create security risks, misuse the Integration, attempt unauthorized access, or if Intuit requires modification or suspension of the Integration.

Terminating the Integration does not affect your primary Member365 subscription unless otherwise specified.

15. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the applicable laws of Canada.

16. Acceptance

By activating or using the QuickBooks Online Integration, you confirm that you have read, understood, and agree to this Agreement.
